Terms of Service

1. Agreement to terms

By accessing or using Proper Agent (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including landlords and tenants who access the tenant mobile application.

2. Description of service

Proper Agent provides cloud-based property and tenancy management software designed for landlords in Northern Ireland. The Service includes compliance tracking, tenancy document generation, rent ledger management, Making Tax Digital for Income Tax support for UK property income, tenant messaging, and related features as described on our website.

Making Tax Digital for Income Tax is available for UK property landlords from the Tax section of the dashboard.

3. Account registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable housing or tenancy legislation
  • Upload false, misleading, or fraudulent tenancy or compliance information
  • Attempt to gain unauthorised access to the Service or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to harass, abuse, or harm tenants or other users

5. Subscription and payment

Paid subscriptions are billed monthly or annually as selected at checkout. Prices are displayed on our pricing page and may change with reasonable notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

6. Data and content

You retain ownership of the data you upload to the Service. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service. We do not sell your data to third parties.

Generated documents and notices are based on the data you provide. You are responsible for reviewing all generated content before use. Proper Agent does not provide legal advice.

7. Making Tax Digital and tax submissions

Proper Agent provides software to help UK landlords keep digital records and submit Making Tax Digital for Income Tax updates for UK property income. You remain legally responsible for the accuracy and timeliness of your tax submissions.

  • Tax estimates displayed in Proper Agent are provided by HMRC and are indicative only — they are not a substitute for professional tax advice or your final declaration
  • Proper Agent supports UK property income only. Self-employment, foreign property, and other non-mandated income sources must be reported using other HMRC-compatible software or your HMRC online account
  • By connecting to HMRC, you authorise Proper Agent to transmit data to HMRC on your behalf using the OAuth permissions you grant
  • You must review all quarterly updates and final declarations before submission

Proper Agent is not an accountant or tax adviser. For complex tax affairs, consult a qualified professional.

8. Limitation of liability

The Service is provided “as is” without warranties of any kind. To the fullest extent permitted by law, Proper Agent shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to missed compliance deadlines or financial losses.

You are solely responsible for ensuring compliance with the Private Tenancies Act and all applicable Northern Ireland housing regulations.

9. Termination

We may suspend or terminate your account if you violate these terms. You may terminate your account at any time by contacting support. Upon termination, your right to use the Service ceases immediately.

10. Governing law

These terms are governed by the laws of Northern Ireland and the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.

11. Changes to terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.
